ASSOCIATE
Joseph Ventimiglia is an associate in the firm’s Corporate, Business and Securities practice group. Mr. Ventimiglia is a corporate finance and securities lawyer with a background in a wide variety of corporate transactions. He represents issuers, underwriters and placement agents in public and private offerings of equity and debt securities, and start-up and development stage companies, as well as venture funds, in seed capital financings. Mr. Ventimiglia’s experience also includes representing public and private corporate entities in business combinations (including mergers, stock acquisitions and asset acquisitions) and joint ventures, and representing lenders and borrowers in loan and credit facility transactions. In addition to handling transactional work, Mr. Ventimiglia advises clients on general corporate governance and securities matters, including compliance with federal securities laws.
Mr. Ventimiglia graduated from Tulane University (B.A., 1991) and St. John's University School of Law (J.D., cum laude, 1997). He served as an Articles and Notes Editor of the St. John’s Law Review. Mr. Ventimiglia is admitted to practice in the State of New York.
